1. Acceptance of Terms

By accessing or using WorkenOS ("the Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you may not use the Service. These Terms constitute a legally binding agreement between you and WorkenOS.

We reserve the right to modify these Terms at any time. Continued use of the Service after changes constitutes acceptance of the modified Terms. We will notify users of material changes via email or platform notification.

2. Description of Service

WorkenOS is a global workforce intelligence platform that provides AI-powered job matching, career intelligence, skill analysis, salary insights, and professional networking services. The Service includes:

• Job search and opportunity discovery across global markets.
• AI-powered professional profile creation and optimization.
• Skill assessment, gap analysis, and career path recommendations.
• Salary intelligence and market trend analysis.
• Professional networking spaces and community features.
• Learning resources and certification programs.
• Employer tools for talent acquisition and workforce analytics.

3. User Accounts

To access certain features of the Service, you must create an account. You agree to:

• Provide accurate, current, and complete information during registration.
• Maintain and promptly update your account information.
• Keep your password secure and confidential.
• Accept responsibility for all activities under your account.
• Notify us immediately of any unauthorized access or security breach.

You must be at least 16 years old to create an account. WorkenOS reserves the right to suspend or terminate accounts that violate these Terms.

4. User Content

You retain ownership of content you submit to the Service ("User Content"), including resumes, profiles, posts, and messages. By submitting User Content, you grant WorkenOS a worldwide, non-exclusive, royalty-free license to use, display, reproduce, and distribute your content solely for the purpose of operating and improving the Service.

You represent and warrant that:

• You own or have the right to submit your User Content.
• Your content does not infringe upon the rights of any third party.
• Your content is accurate, truthful, and not misleading.
• Your content complies with all applicable laws and regulations.

5. Prohibited Uses

You agree not to use the Service to:

• Post false, misleading, or fraudulent job listings or profile information.
• Harass, abuse, or harm other users.
• Scrape, data-mine, or systematically extract platform data without authorization.
• Distribute malware, spam, or unauthorized advertising.
• Circumvent security features or access restrictions.
• Impersonate other individuals or organizations.
• Use the platform for illegal discrimination in hiring or employment.
• Reverse-engineer, decompile, or disassemble any part of the Service.
• Use automated tools or bots without explicit written permission.
• Violate any applicable local, national, or international law.

6. Intellectual Property

The Service, including its original content, features, functionality, design, logos, and trademarks, is owned by WorkenOS and protected by international copyright, trademark, patent, and trade secret laws.

Our AI models, matching algorithms, skill graphs, and intelligence systems are proprietary technology. You may not copy, modify, distribute, or create derivative works based on our intellectual property without express written consent.

7. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

WorkenOS does not warrant that:

• The Service will be uninterrupted, secure, or error-free.
• AI recommendations or matching results will be accurate or suitable.
• Job listings posted by third parties are legitimate or accurate.
• Salary data or market intelligence represents guaranteed outcomes.

8. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, WORKENOS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, EMPLOYMENT OPPORTUNITIES, OR GOODWILL, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF THE SERVICE.

In no event shall our total liability exceed the amount paid by you to WorkenOS in the twelve (12) months preceding the event giving rise to the claim, or one hundred US dollars ($100), whichever is greater.

9. Termination

We may terminate or suspend your account and access to the Service immediately, without prior notice, for any reason, including breach of these Terms.

Upon termination:

• Your right to use the Service will immediately cease.
• We may delete your account and User Content after a 30-day grace period.
• You may request export of your data before deletion.
• Provisions that by nature should survive termination shall remain in effect.

You may terminate your account at any time by contacting us or using the account deletion feature in your settings.

10. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the Federative Republic of Brazil, without regard to conflict of law provisions. For users in the European Union, mandatory consumer protection laws of your country of residence shall apply.

Any disputes arising from these Terms or the Service shall first be subject to good-faith negotiation. If unresolved within 30 days, disputes shall be submitted to the competent courts of São Paulo, Brazil, unless otherwise required by applicable law.
